These Terms of Service ("Terms") govern your access to and use of the services provided by CHATER AI ("we," "us," or "our"), including our website, software, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use our Services. These Terms constitute a legally binding agreement between you and CHATER AI.

2. Description of Services

CHATER AI provides artificial intelligence solutions for small and medium-sized businesses, including but not limited to AI knowledge bases, workflow automation, customer support solutions, and custom AI implementations. Our Services are provided on a software-as-a-service (SaaS) basis.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. User Accounts

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any information to keep it accurate and current
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. Fees and Payment

Certain aspects of our Services may be provided for a fee. You agree to:

• Pay all applicable fees as described on our website or in your service agreement
• Provide valid payment information
• Pay all charges incurred under your account

All fees are exclusive of taxes, which will be added where applicable. We reserve the right to change our pricing upon 30 days' notice. Subscription fees are non-refundable except as required by law.

6. Acceptable Use

You agree not to:

• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by CHATER AI and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

8. Customer Data

You retain all rights to any data, content, or information you submit to the Services ("Customer Data"). You grant us a license to use Customer Data solely to provide and improve our Services. We will handle your data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR.

9. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party and will not disclose such information to third parties without consent, except as required by law.

10. Data Protection

We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our processing of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, we act as a data processor and you act as the data controller.

11. Service Availability

We strive to maintain the availability of our Services but do not guarantee uninterrupted access. We may suspend or terminate Services for maintenance, updates, or in case of technical issues. We are not liable for any downtime or unavailability of Services.

12. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Services are provided "as is" and "as available"
• We make no warranties, express or implied, regarding the Services
• We disclaim all warranties of merchantability, fitness for particular purpose, and non-infringement
• We do not warrant that Services will be error-free or meet your requirements

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under UK law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATER AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law.

14. Indemnification

You agree to indemnify and hold harmless CHATER AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

15. Term and Termination

These Terms remain in effect until terminated by either party. You may terminate by closing your account. We may terminate or suspend your access immediately for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, illegal, or harmful activity
• At our discretion with 30 days' notice

Upon termination, your right to access the Services ceases immediately. We may delete your data in accordance with our data retention policies.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Services at least 30 days before the effective date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, nothing in this clause affects your statutory rights.

18. Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If resolution cannot be reached within 30 days, either party may pursue legal remedies in accordance with Section 17.

19. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or failure of third-party services or infrastructure.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you have entered into with us, constitute the entire agreement between you and CHATER AI regarding the Services and supersede all prior agreements and understandings.

22. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including to any affiliate or in connection with a merger, acquisition, or sale of assets.

23. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

24. Third-Party Services

Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

25. Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Services. You represent that you are not located in a country subject to UK government embargo or designated as a "terrorist supporting" country.
